These Terms and any disputes arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California, for the resolution of any disputes arising out of or related to these Terms or the Site.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Sacramento, California, and the decision of the arbitrator shall be final and binding upon both parties.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Class Action Waiver. YOU AND EON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this Class Action Waiver is found to be unenforceable as to any particular claim, then that claim (and only that claim) shall be severed from arbitration and brought in court, while all other claims remain subject to arbitration.
30-Day Right to Opt Out of Arbitration. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.
We will not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, earthquake, pandemic or public-health emergency, government action, internet or telecommunications failures, supply-chain disruptions, or labor disputes. Any deadline for performance will be extended for a period equal to the duration of the force-majeure event.

Our failure or delay in enforcing any provision of these Terms is not a waiver of that provision or of our right to enforce it later. No waiver of any provision of these Terms is effective unless made in a writing signed by an authorized representative of EON, and any such waiver applies only to the specific instance for which it is given.
These Terms are for the benefit of you and EON only. They do not create any rights or remedies in favor of any third party, except as expressly provided herein with respect to EON's officers, directors, employees, agents, affiliates, successors, and assigns.
Sections of these Terms that by their nature should survive termination — including Intellectual Property, User Submissions, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any rights or obligations that have accrued — will survive any termination or expiration of these Terms.
We may give notice to you by posting on the Site or by email to the address you provided to us. Notices to us must be sent in writing to the contact address set forth below. Notice is deemed given upon posting (for Site notices) or upon transmission (for email).
